The provisions of paragraphs 2 (Use of the Service), and 3 (Indemnification) are for the benefit of www.healios.org.uk and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
5. TERM; TERMINATION
This Agreement may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement.
This Agreement shall all be governed and construed in accordance with the laws of UK applicable to agreements made and to be performed in UK. You agree that any legal action or proceeding between www.healios.org.uk and you for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in UK . Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. www.healios.org.uk’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. www.healios.org.uk may assign its rights and duties under this Agreement to any party at any time without notice to you. Any rights not expressly granted herein are reserved.
7. HOW WE MAY USE AND PROCESS YOUR PERSONAL INFORMATION
7.1 We may collect and process the following data about you:
7.1.1 information that you provide by filling in forms or otherwise submit to us. This includes information provided at the time of registering to use the Healios Service, booking an appointment or requesting further services;
7.1.2 information that you provide whist using the Healios Services.
7.2 We will use the personal information you provide to us to:
7.2.1 provide the Healios Services
7.2.2 we may also ask you to complete surveys on the phone, web or with mobile applications that we use for research and analysis purposes, although you do not have to respond to them.
7.3 By submitting any individual’s personal information to Healios, you agree, and confirm your authority from such other individual, to Healios’ collection, use and disclosure of such personal information in accordance with these terms.
7.4 We may disclose your personal information to any member of our group, which means our subsidiaries, our ultimate holding company and its subsidiaries, as defined in section 1159 of the UK Companies Act 2006.
7.5 We may disclose your personal information to third parties:

7.5.2 In the event that we sell or buy any business or assets, in which case we may disclose with other people’s information to pass onto third parties. None of the personally identifying information you provided will be passed onto Third Parties unless as stated in this clause. Your personal data to the prospective seller or buyer of such business or assets after de-identifying it i.e. your personal identifiable information will be removed. Personal data held by it about its customers will be one of the transferred assets; any legal obligation.
